09.10.2007 We would like to set up one more company where an Estonian national will hold 98%, a Belarusian citizen –1% and a non-resident legal entity 1%. Can the Estonian give the Belarusian a power of attorney to carry out all the activities related to the establishment of a joint limited liability company? Item 22 of Edict N11 On Streamlining Registration mandates that registration documents shall be submitted in the presence of company founders (individuals and representatives of legal entities). If company founders number more than five, they can delegate one of them to act on their behalf in the registration body.
In addition, foreign nationals acting as company founders shall submit copies of their passports and a translation into Belarusian or Russian. The translator's signature shall be notarized.
